Ness Energy Pens First Right of Refusal Agreement With Potential Partner

WILLOW PARK, TEXAS, U.S.A./ ISRAEL: February 2, 2004 /MacReport-First Call/ -- Ness Energy International, Inc. (OTC Bulletin Board: NESS) is pleased to announce that its quest for a partner for its Parker County, Texas play may be satisfied. On January 27, 2004, Ness Energy International, Inc. entered into an agreement with a major independent exploration and production company. This giving the company the First Right of Refusal of participation on Ness' 6000+ contiguous acre leasehold in Parker County, Texas. Ness Energy, at that time ceased in any talks it was having with other oil and gas companies.

Recently Ness announced it was being approached by several larger independent oil and gas companies wishing to partner with Ness to develop its Parker County prospect. Parker County is in the Barnett Shale gas corridor and has recently been a whir of activity, both from leasing and new drilling activity. Sha Stephens explained "The Barnett Shale formation is believed to be one of the Nation's largest gas fields, extending from the Muenster Arch, Montague and Cooke counties to the north, along the Ouachita Thrust Belt, at Dallas County, to the east, down south as far as Hill County. The western boundary has not yet been defined and very good Barnett Shale production is being revealed daily in Parker County. Having a company the size of our potential partner would afford Ness the availability of an expanded resource not yet been afforded to Ness. The potential availability for the use of these resources allows us to look at bigger and better deals, this in turn will build our cash flow and solidify our financial base to the point that we can go and complete the vision that has been passed on to us."
 
Only shortly after announcing it was entertaining the notion of a partnership arrangement, Ness Energy was contacted by a large independent oil and gas company to meet and review the acreage and discuss a partnership arrangement. Only days after the meeting, Ness was contacted and asked to terminate any other negotiations regarding the prospect. This request was made in order that an appropriate time could be spent evaluating, what they described as, "A very strong interest" in the Ness leasehold. .

Sha Stephens, President of Ness Energy International, Inc. says, "We have always been excited about the future of Ness Energy because we knew we had good prospects, but to have a company of this caliber as our potential partner is nearly as good as it gets. This prospective partnership arrangement is what smaller companies, such as Ness Energy, are very fortunate to have come their way". Due to other obligations, the prospective partner has asked, and has entered into a contract with Ness, that grants this company the first right of refusal through March 1, 2004." Details concerning the prospective partner will be released once both companies complete evaluations and a final contract has been signed.

Ness Energy International, Inc. is currently negotiating another major partnership arrangement involving one of its current acquisition opportunities which it believes it will finalize in the days ahead. This involves an acquisition that includes 2200 acres and eighteen well bores also located in Parker County, Texas. Final decisions and contracts are expected to follow soon. The scope of the development will include, reworking existing well bores and drilling new wells to the Barnett Shale. Partners are currently being sought to assist in this multi million dollar project.
