Ness Energy Presented Contract

WILLOW PARK, TEXAS, U.S.A./NETANYA, ISRAEL:  March 4, 2004, / MacReport -FirstCall/ -- Ness Energy International, Inc. (OTC Bulletin Board: NESS) announced the receipt of a major contract proposing an arrangement to further the exploration and development of it's Ft. Worth Basin leasehold acreage owned by  Ness Energy International, Inc. These interests are located in Parker County, Texas. A major independent oil and gas company proposes that they take the lead in the development. This was presented in the form of a binding offer, not letter of intent, subject to Ness acceptance. Ness considers events here to help the company advance in its quest to build assets, cash flow and increase shareholder value. Ultimately, this will allow Ness the continued ability to move forward and, we believe, locate a vast resource of oil and gas not only in the United States, but also in Israel. Management is, for the most part, pleased with the offer, but will take a few days to consider what is best for the long term plans of the company. 

Plans Turn Into Action,  With Results

In January and then in February, 2004, Ness announced new discussions and efforts with larger independent oil and gas companies seeking to become involved and joint venture together, which may lead to a vast expansion of Texas exploration and development. Ness further announced the execution of an initial agreement with one company, granting that company a right of first refusal to acquire Ness leases. NOW, in March, Ness plans have turned into action, and action has produced results.

Ness Energy holds a large contiguous acreage position in Parker County Texas encompassing nearly 7,000 acres for the development of oil and gas. Exploration and development is required to take captive the resources lying beneath the surface of the earth, including, but not exclusively, the vast resources of the Barnett Shale. The Barnett Shale is a highly prolific gas formation that is quickly becoming one of the largest gas fields in the Nation. Ness believes cooperation from larger independent companies is necessary to advance the long range goals it strives to accomplish. This will allow Ness to operate and pursue certain projects, both here in the Ft. Worth Basin, and elsewhere.

Now, in March, Ness Energy again shows that Ness plans don't remain plans very long. Action equals results. Results have materialized because of a hard working team led by Ness' C.E.O., Sha Stephens, this team once again, has brought fruit to the Ness table. Sha manages a company that is stretched out over two continents with offices and operations in the U.S. and Israel. He has pushed very hard the past few weeks with discussions on Wall Street, which resulted in the hiring of a new team of Northeast accountants, several options of cooperation with several different brokerage firms and investment bankers. He is now discussing and considering term sheet details and opportunities in these various areas. This whole time, remaining a family man, making baseball games and helping shuffle kids to their various functions. Even though his family has certainly seen less of him lately, they continue to support him with love and encouragement.

According to President and CEO Sha Stephens, "We believe that one key to success as a company, and as an international operator now working in Israel, is active cash flow. Cash flow that can only be realized by having put a drill bit in the ground and turning to the right. The best way for Ness to accomplish this, in the most prudent manner, is to allow others to join in and ease the financial responsibility we would bear ourselves. Ness has never been the company to "promote" their deals to the general public. We have attempted to keep in house, all we can possibly keep, but we can't keep it all and cover all projects we are working on. That is why we have made known our desires for participation, and are now considering this joint venture. This will expedite the realization of cash flow on a more timely basis than we are able to accomplish on our own. I plan, will act, and will generate the results this company, our company, Ness Energy, needs to be successful. The contract, on the table and under consideration, is supportive of our long term belief we have something of real value here at Ness in Parker County, Texas."

The offer, binding upon the independent company is wholly subject to Ness Energy's acceptance of its terms and offers. The terms of the offer and contents of the contract have, at the request of the potential partner, been kept, and will be kept, confidential. Management asks for continued prayers for all Ness efforts including the analysis and determination of action on the contract offer.  

Other News

Ness Energy International, Inc. reports the work on the Gurim #4 well, in Israel, continues. The immediate surface equipment has been worked-over and cleaned up and the rig and crew are working like a well-oiled machine. The next few days Ness is conducting tests to determine the rate of fluid entry into the wellbore to determine if the well possesses the qualities necessary to be a commercial producer. Results will follow in the days ahead
