Ness Energy Proceeds To Closing Israeli Acquisition; Major Step Towards Drilling In Israel With Five Well Workover Program

WILLOW PARK, TEXAS, U.S.A./ NETANYA ISRAEL:  November 11, 2003, 2003/PRNewswire-FirstCall/ -- Ness Energy International, Inc. (OTC Bulletin Board: NESS) announced it has successfully completed negotiations and contract preparation issues with an Israeli group for the acquisition of an Israeli company having oil and gas rights granted by the Israeli government. Ness proceeds to close what it believes is a major step towards drilling in Israel.

Contract Negotiations Complete

Extensive efforts have been made by Ness Management to complete this transaction with the best terms for Ness, including multiple meetings and trips by a Ness key Israeli consultant. This past weekend the consultant brought the sellers principal with him from Israel to Texas for final discussions regarding contract issues with Ness President Sha Stephens. According to President Stephens, "We spent part of Friday night and almost all of Saturday from early morning going through the contract to make final changes. We reached final terms, and now the principal has returned to Israel to obtain signatures on the closing document to complete the transaction."

Acquisition Background and Terms

The targeted acquisition had been a major pursuit of past President Hayseed Stephens, and was the last significant effort he made in Israel just before returning to the U.S. earlier this year. Negotiations have been off and on for months since his death, with new President Sha Stephens proceeding cautiously to acquire what he believes is the select portion of the assets of the group.

The assets include an Israeli limited partnership, an Israeli general partnership, an Israeli trust, and most importantly the land rights for a parcel of approximately 10,000 acres with five existing wellbores on the site. These rights include a license issued by the Israeli government. This license related to about 100,000 acres and five wells that were drilled in the 1980's, but Ness has targeted the specific 10,000 acres where the wells are. The field is located between the town of Arad and the southwest end of the Dead Sea.

According to President Stephens, "We will release detailed information on the assets when appropriate, but it is important to note that we plan to make this our first active oil and gas project in Israel with work starting before year end and well site efforts will commence around this coming January. Ness will gain further experience in working in the country of Israel on oil and gas operations, managing contacts and utilizing the infrastructure of industry service companies while establishing good working relationships with government officials and those that shape the oil and gas community in Israel. We plan to establish commercial oil production out of this license."

He further stated, "This is one of the opportunities that Dad (Hayseed) worked so long and hard for. All of these things that we are seeing come in to place are fruits of his labor.....his planting and watering if you will. I just feel very fortunate to be able to partake of the crop that is beginning to come in. At this point, the crop is a little green, but the abundance that can be seen as I look over the field is limitless. I know that he would be very proud that this deal has come through, but more importantly, we are walking out the vision that was given to him, the vision that has also been confirmed through science, geophysics and geology, that of the location of an abundant supply of oil and gas at the southwest end of the Dead Sea.

Ness anticipates success with final contract closing within days with news to be released as it develops.

President Stephens meetings with the Israelis this past weekend came right after his return from Wall Street where substantial progress was made on funding discussions and other pursuits, with news to be released shortly detailing the Wall Street trip.
